• Advising on the key terms of fund investments into portfolio companies
• Assisting in developing structure of fund investments in portfolio companies
• Conducting of legal due diligence of portfolio companies
• Structuring class of shares and development the terms of class of shares
• Preparation of the transaction documents relating to fund investments in portfolio companies:

- confidentiality agreement
- advance subscription agreement, simple agreement for future capital (SAFE), convertible loans
- articles of association of holding company, portfolio company or special purpose company or other similar constitutional documents
- investment agreement or subscription agreement
- shareholders agreement
- option agreement
- management services agreement
- management equity incentive documents
- employment agreements

• Preparation of the transaction documents relating the investments of private equity funds in portfolio companies:

- equity financing documents (equity commitment letter, investment agreement, subscription agreement, shareholders agreement, articles of association of a holding company, special purpose company or portfolio company and etc.)
- debt financing documents (debt commitment letter, bank senior loan agreement, security agreements, guarantee deeds/agreements and etc.);
- mezzanine financing documents (mezzanine / subordinated loan agreements or instruments, note subscription agreement, intercreditor agreement, warranty instruments, option agreements and etc.)
- acquisition documents (term sheet, heads of terms, share purchase agreement, disclosure letter, tax covenant deed, warranty deed and etc.)
- management arrangements (rollover commitment letter, management services agreement, management equity incentive agreements, director's services agreements, employment agreements)

• Assistance in preparation of the disclosures in a disclosure letter and review of the disclosures in a disclosure letter
• Assistance in handling with conditions precedent
• Assistance in signing and closing of the fund investment transaction
