• conducting vendor due diligence, preparation or review of vendor due diligence report
• reviewing and participating in reviewing information memorandum, including for the purpose of ensuring its compliance with mandatory laws and regulations
• assisting in verification of information memorandum and in preparation of verification notes
• assisting in setting up a data room and data room rules
• preparation of the following documents:

- investment bank engagement letter, mandate letter with financial advisers
- bid process letter (auction process letter), indicative timetable and confidentiality agreement
- share purchase agreement, business purchase agreement, assets purchase agreement, disclosure letter and other transaction documents

• participating in review and analysis of the indicative and final bids
• advice on regulatory aspects of auction / bid process
